SUN Pharmaceuticals Saga Continues

SUN PHARMACEUTICALS SAGA, continues, a detailed Article alleging serious misconduct by various individuals and accusing them of abuse of authority with the involvement of the Attorney General’s Chambers. The allegations stem from a lengthy legal battle that began with litigation initiated by the Development Bank of Zambia, later joined by the Government of Zambia, spanning from 1995 to 2007. SUN Pharmaceuticals ultimately prevailed in court, with a judgment in their favor. In September 2022, the Ministry of Justice confirmed the amount owed to the company under the High Court ruling as CHF 117,323,378.45.

Sun Pharmaceuticals was engaged in litigation – initially brought by the Development Bank of Zambia and later joined by the Government of Zambia – from 1995 to 2007. In June 2007, after a public trial in the Ndola High Court, two appeals to the Supreme Court and a final determination by the Lusaka High Court (under the supervision of the Supreme Court), the matter was finally conclusively decided in Sun Pharmaceuticals’ favour.

On 27th September 2022, the Ministry of Justice wrote to Sun Pharmaceuticals Ltd, after an independent revalidation of the Judgment Debt outstanding balances, confirming the total sum due under the High Court Judgment as CHF 117,323,378.45 as of 31st August 2022.

Within 48 hours of receiving the letter, the company’s directors and their liaison have alleged in court documents that they were abducted in Lusaka and placed under duress in an attempt to make them sign documents relinquishing their interest in Sun Pharmaceutical Limited. The incident was reported to the police, who apprehended some of the abductors the following day but subsequently released them. In a letter dated February 27, 2023, addressed to the Inspector General of Police, the Sadhus’ legal representatives stated:

“Our clients instruct that it is evident from the interrogations they were subjected to while in captivity and the attempt to get them to sign a document under duress that the interrogators were acting on instructions from the Kalenga family who appear to have employed the State machinery for their own purposes vis to achieve what they failed to achieve in the civil actions against our clients before the High Court and Supreme Court.”

They also state, “We further understand from our clients that Rashid Munali threatened one of our clients – Vinod Sadhu in full view of the officer in charge at Chelstone Police station that he would “liquidate” him.”

In a separate letter to Chelstone Police Station, their lawyers stated:

“We further understand that the next morning as they were waiting at the reception area after being released from incarceration, Bernard Phiri who we understand was an off-duty police officer from Sesheke Police was brought back to the station to pressure our clients to settle the matter with the Kalenga family. We understand that Bernard Phiri was later joined by Munali Rashid, Malambo and another officer.”

“Our instructions are in the premises to inquire from you the status of the matter which resulted in Rashid and Malambo being detained in police custody. Note that our clients are complainants in the said matter arising from their abduction.”

Subsequently, after various follow-ups with the authorities, Sadhus and their liaison participated in extensive interviews and recorded their statements at Police Service Headquarters in Lusaka on 27th March and 4th April 2023. The trial in their civil claim for their abduction commences in October 2024.

Despite the decisions of the High Court, Court of Appeal, and Supreme Court upholding the Sadhus as the rightful owners of the Company, the Kalengas and their associates continue to run a campaign to defame Sun Pharmaceuticals and its owners, the Sadhus. This campaign serves as a tool to obscure the intense and unlawful pressure placed on the Company, such as through the abuse of illegal restriction notices and the improper use of the courts, to force it to give up the benefits of the judgment. These actions are being carried out by people with close connections to the state machinery, who have no rightful claim to the judgment.

After the abduction did not succeed, Sun Pharmaceuticals Ltd was the target of another instance of misuse of state machinery to unlawfully change the company’s shareholder records at PACRA, Zambia’s corporate registry, in an attempt to undermine the Judicial Rulings. PACRA, the custodian of company records, at the instigation of the Kalengas proxies, would demand that the company produce documents extending back 61 years before independence, which was deemed unlawful by the company lawyers. Officers allegedly involved in the abduction were equally involved in misusing their authority in this instance, though they failed to alter the share register as sought by the Kalengas.

Meanwhile, the Company had written to the Ministry of Justice on 25th January 2023, demanding payment of the Judgment Debt, to which the Permanent Secretary of the Ministry of Justice replied on 7th February 2023:

“Please note that we received guidance from the Anti-Corruption Commission to remit all scheduled payments in this matter to an Escrow Account pending the conclusion of their investigations. Accordingly, we await further guidance from the Anti-Corruption Commission.”

In response, Mr. Vinod Sadhu, writing for Sun Pharmaceuticals, addressed the Attorney General of Zambia on February 22, 2023, stating:

“We have consulted our legal counsel in this matter and have been advised that since the debt herein arises from a Judgment of the High Court, the Anti-Corruption Commission has no power to stop payment of the Judgment debt as only the High Court itself can stay execution of its Judgment.

The directive from the Anti-Corruption Commission to the Ministry of Justice to remit all scheduled payments in this matter to an Escrow Account is therefore illegal and as the Anti-Corruption Commission has no such powers under the Anti-Corruption Commission Act.
We therefore shall be grateful for your intervention in this matter as clearly the Anti-Corruption Commission is engaging in lawlessness which your office as Chief Legal Advisor of the Government should not condone if you are to uphold the Rule of Law in Zambia.

We shall be grateful for your urgent attention to this matter”

Thereafter, Simeza Sangwa and Associates continued to pursue the Attorney General’s Chambers and the Anti-Corruption Commission to ensure compliance with the court judgment. Following numerous follow-ups and correspondence, the Anti-Corruption ommission rescinded its illegal directive to the Ministry of Justice on 24th November 2023.

Lewis Mosho is not always successful, and the flame of justice still burns in some Zambian courts.

More recently, Kalenga’s recruited the infamous Lewis Mosho, who, in his usual fashion, employed the tact of obtaining ex-parte orders appointing Provisional Liquidators to take over the company. This he did, along with Bwalya Sampa Legal practitioners, by an action at Ndola in which Tresphord Kabanga was appointed Provisional Liquidator, followed by a consent order, with no knowledge to the Company directors or shareholders. The Company only came to learn about the ex parte orders through their own sources and after discovering a letter from Keith Mweemba Advocates, purporting to represent Sun Pharmaceuticals Ltd, addressed to Attorney General Chambers demanding that payment of the Judgment debt due to Sun Pharmaceuticals be paid to Keith Mweemba’s account held with First National Bank, Manda Hill Branch.

Quick action by Sun Pharmaceuticals’ Lawyers, Messrs Simeza, Sangwa & Associates, saved the company as the order was stayed.

Lewis Mosho and group, unrelenting, moved to the Livingstone High Court alongside Bernard Kang’omge Associates, where he again obtained an ex-parte order appointing the Administrator General as Interim Business Rescue Administrator. This order, too, would not be served on directors or shareholders of Sun Pharmaceuticals Limited but was served on the Administrator General, Attorney General, Solicitor General, Permanent Secretary Ministry of Justice, Inspector General of Police, Commissioner CID Police and Accountant General, Ministry of Finance, to facilitate the diversion of the compensation fund payments away from the actual beneficiaries.

The intention was to have the same Tresphord Kabanga whose appointment as provisional liquidator had been stayed, now appointed Business Rescue Administrator via a default Judgment, but again, upon learning of the litigation through its sources, quick action by Simeza, Sangwa & Associates acting for Sun Pharmaceuticals rescued the company from Lewis Mosho days before default Judgment was to be entered.
Sadly, the Attorney General’s chambers appear to have been recruited in this saga, as they were at the centre of the appointment of the Administrator General, through whom the monies due to Sun Pharmaceuticals from the Ministry of Finance were to be channelled and then diverted elsewhere.

Earlier, on 15th March 2024, following one of the ex-parte orders obtained by Lewis Mosho, Keith Mweemba Advocates wrote to the Ministry of Justice and the Inspector General of Police, asking them to pay the Judgment debt due to Sun Pharmaceuticals to Keith Mweemba’s bank accounts at First National Bank, Manda Hill, and not Sun Pharmaceuticals.

At the time Keith Mweemba wrote the letter to the Ministry of Justice, the Zambia Police Service had unlawfully blocked any payments of the said Judgment sum on the grounds that they were still investigating the matter.

Shortly after Keith Mweemba Advocates demanded, the Ministry of Justice received a letter on 18th March 2024 (purportedly dated 11th March) in which the Police Commissioner Yuyi Mwale suddenly lifted the restriction on paying out the funds belonging to Sun Pharmaceuticals.

These orchestrated actions, with tight coordination and timing between police officers and the Ministry of Justice, have linked a senior officer in the Attorney General’s chambers with the Lewis Mosho and Kalenga group to divert the compensation fund payments due to Sun Pharmaceuticals to Keith Mweemba’s account.

Justice M.M Wina, in her ruling 2024/HL/29 dated 23rd July 2024, discharging the Exparte Order granted in April 2024, ruled:

“For the avoidance of doubt, having ruled that this matter is indeed statute-barred, the Ex Parte Order granted by the Court on 16th April 2024 appointing the Administrator General of the Republic of Zambia the Official Receiver as Interim Business Rescue Administrator is hereby discharged and this matter is therefore dismissed for being statute barred.”

Following the dismissal of the case by the High Court at Livingstone, Sun Pharmaceuticals Ltd have demanded a full account of all actions taken, monies received or paid out in the name of Sun Pharmaceuticals Limited during the period when Lewis Mosho’s ex parte order appointing the Administrator General as Interim Administrator was in place. The company has demanded that the Administrator General render an account to include all receipts and payments made and where funds have been disbursed, at whose instance.

Simeza Sangwa Associates further wrote to the Permanent Sectary, Ministry of Justice, on 22nd August 2024, asking for a detailed statement showing funds paid out to an escrow account and other payments made under the Judgment.

    • Eish, the lengths greed will take people to… we know too well how some of our police officers can work when there is money involed.. people have died in cells for much less! Jack Mwiimbu has been a disaster as thre minister in charge of police.

    • John Sangwa is always on the media talking about corruption. If his clients the Sadhus are the victims of criminal cartels and corruption why does he not publize the issue. He is a high profile individual after all. Maybe its because he knows that his clients are criminals who stole a company and funds from this country and thus cannot afford to get into that public battle of defending them

  1. It is very concerning to read that State institutions are facilitating expropriation. There have been various reports of irregularities at Attorney General Chambers, which must be investigated thoroughly.

    • @ Simon, we lack the tools to nvestigate major internal crime in the government. The laws underpinning the office of public protector have been modelled on South Africa, which is very powerful, but key aspects of its legislation have not been activated in Zambia. Parliament is supposed to create a special committee to oversee it but that has deliberately not been done till date.

  3. Interestingly, in the supporting documents, Kang’omge Associates served the Ex Parte order appointing the Administrator General as Interim Business Rescue Manager. Is that not the same law firm representing Daily Revelation in their defamation suit by former DG Shamakamba? Are they connected to this scam in some manner? There are lots of questions about the overlapping people involved here, targeting the Company!

    • @ Vantage Pooint , Good observation! The actions resemble a cartel and not just one or two players. these are critical public offices. Who can expect they will remain clean after facilitating such illegality.

    • IT will be very interesting when the details of Shamakamba’s release of the Sadhus and subsequent facilitation of their escape from police by fleeing the country comes out in this court case. I understand that Shamakamba gave the Sadhus back their passports even though police had told him they were about to arrest them. He then attempt to release frozen funds to them in India. The Kalenga and Police reported the matter to ACC Board. It was one of the issues that had him forced to resign. Lets look forward to the dirty details.

    • @ Vantage Point this connection is alarming. We cannot forget Kaaba and Musa Mwenya are part of this team, but they just fell out. They had been eating together in this government for three years until the fight.

    • @ Vantage— Bernard Kang’ombe Associates is clearly at the centre of re-directing the funds owed to Sun Pharma to Keith Mweemba’s accounts, the same Keith Mweemba who is the UPND party colleague and close partner of Marshal Muchende, the Solicitor General of Zambia. Ironically, in the defamation case, Dr O’Brian Kaaba will be standing shoulder to shoulder with a partner in the crime of Marshal Muchende, the very man Kaaba accused of facilitating corruption at the attorney general chambers. What a mess, indeed.

Solicer General Marshal Muchende has been under investigation by ACC for months, and this morning’s news is that the Administrator General has been removed—maybe as a scapegoat for the actions of others in her department! It is time to let the sunlight in and clear the cobwebs.

I thought mosho was Lungu’s guy but looks like lawyers such as him have no allegiance. same with keith mweemba

    • @ Chriss, Lewis Mosho has always worked as a front for powerful political interests. The number of fake liquidations and take overs he executed have made him infamous. Kalengas working with him should tell us they have other silent partners and also that they don’t have a genuine case. These tactics are used by those who need to short circuit the Judiciary and not follow the rules of the courts. It stinks of major corruption involving big boys.

  11. Unscrupulous lawyers frequently use their law firms for nefarious activities in Zambia. The only solution is for LAZ to appoint more resources to tackle the scourge so they are struck off the practitioner’s list and never appear in front of a Judge.

  12. Keith is a man of the system and the party at the same time – he is even representing Minister of Finance Dr Musokotwane in his defamation suit. People assume that when he calls, he has instructions from his higher ups. Of course, it’s not difficult to fudge whose instructions in an opaque system based on proximity to power. The system is rife with conflicts of interest and personal equations taking precedence over the law.

    • @Mweemba : appreciate your observation on the heavy conflict of interest in government. Read Aaron Nganbi’s excellent article in Mail and Guardian recently on this subject. It is conceivable they are using Keith on the outside to do what they cannot publicly admit to while on the inside.

    • @ Mweemba—your namesake has an apparent conflict of interest, but that is his calling card, isn’t it? He’ll milk it for all its worth while UPND is in power. The President’s personal lawyer is always a protected man. Here I was stupidly imagining UPND would change things in Zambia!

It is interesting that in all the documents represented by Vinod Sandu in this article there are no documents proving how he managed to buy the company that he claims to to have bought from the Kalenga family and other shareholders. The police and ACC have long sort for him to provide them with this documentation which is why he was arrested under a magistrates warrant not abducted. Since when do kidnappers take their victim to police stations or obtain arrest warrants before abducting them.
    Sadhu is wanted for a number of serious crimes including fraud, theft, obstruction of justice, tax evasion and destroying / concealment of company records. Let him return to Zambia and face these allegations rather then crying to online platforms

    • @Andrew Liston , make up your mind, were they arrested or not!! If they were arrested as you claim, they would have been taken to court, charged and arraigned. Rather than visiting police Hq to give their own statements. Instead you claim, they were to be arrested AGAIN – one year later. How shall the police justify lifting a restriction just as lewis mosho obtains an ex parrte order to take over the company and keith mweemba writes to the government to change the bank account details for payment! This appears to be a white collar crime and do we have the capacity even to investigate such an elaborate network..

    • Then let the Sadhus report this to the police. If it is a crime to obtain ex-parte orders from the court then report to the police and get Lewis Moshe and Keith Mweemba and the Kalengas charged. Wait they cant because the Sadhus are already wanted by the police for serious offences.

How could this ever hold up in in court When have you ever heard of a company being forcefully taken by police. This the story is absolute nonsense and yet as usual we have our foolish Zambians willing to believe any foreigner who is ripping us off.

    • @Monica, abduction, rape, murder, extortion and torture are regular and frequent occurrences within the police services. You claim this is nonsense but many would say this fits a pattern of abuse. Sadhu have also stated political cadres were present with the rouge officers, which might have made this a deadly situation . UPND cadres have demanded compensation for far less under the last PF government !!

    • @ Monica, the sadhus have been very consistent and credible in recounting the events they endured. On the other hand, the Kalengas have been inconsistent in their storytelling, which has made their accounts confusing and unreliable in the media. It seems like they are struggling to keep their story straight and are attempting to change it to serve their own interests. The Kalengas who were involved in this situation stand to lose a lot when they are held accountable for their role in the abduction.

  16. What power does the Judiciary in Zambia really possess if the ACC can stop their orders? Unless officers start seeing their pensions taken away, they will keep breaking the law with impunity. We expected Jack Mwiimbu to give a healing touch to the force after those draconian years under PF but he has disappointed us by doing much the same thing !! Why don’t they make Cornelious Mweeta the home minister for a change after three years of Mwiimbu failures?

  17. It is obvious the Kalnegas are the small fry in this whole scheme, they cannot arrange the defacto theft of a company without major support from within the government. Will this cartel stop with just one company? Who will be next on their target list? The public protector office must take firm action to safeguard the government from capture by criminal cartels.

Why dont their lawyer hold a press confrence to let the world know. They dont because they stole the company and are wanted by the police for it

    • @ Martin I am looking at it with clear eyes and it is evident the sadhus have reported the matter to the police but the police under this government are protecting the perpetrators. ignore the abduciton and just look at the court actions. Ndola, livingstone, liquidator, rescue manager, funds moving out from the adminsitror general … taking pace at almost the same time? This is obviously highly organised criminal activity using the state machinery.

I have been following this story for some time I find it amazing that people will discuss the civil issues surrounding this case and completely forget that the Sadhus are wanted for numerous criminal offenses and yet there are people who will support wanted criminals who are alleged to have stolen from our country
    It is quite simple for Sadhu to have ended this entire saga by simply providing the police and ACC and PACRA with the documentation, but he was required under law to present. As usual his stories are precisely just stories, and we all know that come October he will not show up to go to court over the so-called abduction as he is still wanted by the police services

    • @ Martin, Don’t be naive. Our police is fast to abuse its powers, open to political manipulation and rife with corruption. Where do you think that UN report on Zambia came from? It is the same police force afterall, something here confirms that the rot has been spreading inside ZPS for many years.

    • @ Martin Kanema, it is evident that the Police reacted to cover themselves after the Sadhus and their lawyers alerted Interpol on Mubita Nawa’s unsuitability for the position of Secretary General Interpol. They had been living openly in Lusaka, as we can read in the article even visiting Police Offices to follow up on their abduction for a year, making this claim ridiculous. A faction of the Zambia police is behaving like a mafia like organisation.

    • @simon, police officers are often for sale or at least for rent in our country. This is not the first or last time we will hear of them manipulating the government for their own vested/commercial interests.

    • Sadhus appear fortunate to have survived this ordeal. the police are just the enforcers of whoever their boss is. Politicians habitually treat their official positions as cash cows and interfere in extracting money wherever possible. There are no shortage of victims.

    • @simon – this is well planned corruption and can we expect any truth from Mwiimbu ! who has made himself the minister of threat and intimidation in gov. Whether on the floor of National Assembly or at press conferences or even at private hospitals , what statement or explanation will the Minister give about his close party colleague Keith Mweemba, those are all his men chosen by him including the IG. He must be sharing in this cut.

  20. When this government is out of office, we will need a commission to investigate and institute significant reforms in the police service. Unheard of events have taken place in Zambia’s history and this is another one on the list. The motive of the abduction is clear—the money. In other cases, it’s political. At the core of it all lies an unprofessional police service.

  21. The same Lewis Mosho was also involved in the ex parte takeover of the Isrealii Lev Leviev’e stake in mining company Gemcanton – all in corroboration with PACRA. SO am not surpised to read Moashi and his rent a cops tried pacra here too. In that case also, the owners of the shares in the mine were not part of the case or indeed served with any documents but the judge still signed the suspicious consent order forfeiting the shares. Mosho is an expert in fake liquidation and theft of shares and currently was so trial in court for theft of Shoprite Supermarkets shares, which he used to mange as a broker. This is the Zambian Mafia.

  22. Haimbe was lucky to move out from Justice in time before the *** hit the fan. The SG is making a name for himself for all the wrong reasons in government and eventually it’ll all catch up with him/them. These offices are not permanent after all.

  23. Livingstone High Court has demonstrated its independence. Whenever you hear that the president’s own lawyer Keith Mweemba is implicated, you know that powerful individuals from the party are involved. The administration of justice is never just about one case in isolation. This case has established precedence for future instances, others who may fall victim to a takeover by ex-parte orders and such irregular processes will have the benefit of the ruling.

  24. Why should the government take such an interest in a private companies affairs unless there was something in it for them? If the courts sent them packaging it should end there instead of finding another arm of the State to twist and get money out of them! This is evil.

    • Spot on. Nawa left a black mark on the force that isn’t going away soon. Zambia Police should examine its actions before it is too late and the people lose their little confidence in it. The national interest of a professional force supersedes the private interest of a few senior officers.

    • The government should never have proposed his name for INTERPOL. It’s possible the higher ups were just never informed of the complaints against him by the Sadhus due to personal allegiances inside the force. I don’t see Bally pushing a dented officer, but I can see his advisors hiding the full facts from him!

    • The governments official response to Mubita Nawa being exposed was exactly as the UN report on human rights. Deny deny deny… Even in the advanced countries like UK there are numerous instances of corruption in law enforcement but in Zambia, our men are free of any blemish, despite the evidence to the contrary.

  25. Word is that members of the Indian community sold the sadhus out to the group which abducted them. the community are notorious for reporting on one another out of petty jealousy & there is too much money involved for politicians to let this go.

  26. I find it ironic the Kalenga family enjoy boasting of their ties to UK, where they lived a few years and where some family still live, but back in Zambia, are shamelessly fanning racial hatred of ‘foreigners ’.

    One of their kids even graduated from a UK Uni a couple of weeks back. Wonder how the Family would feel if they were targeted for their skin color, as they are trying to do in Zambia against Mr Sadhu, who emigrated in 1978.

    Their greed for the money they didn’t work for has consumed them entirely. Without anyone to check their limits, they have gone from bad to worse to ugly.

  27. This is no ordinary theft but involves many moving parts and government offices playing a part, either looking the other way or silently moving a lever inside the state. It cannot have got this far without involving the government itself. What does it say about Zambia other than we are a banana republic?!!

  28. The judiciary is not looking good in this saga at all. The audacity of Keith Mweemba to CC the Police! It makes their involvement in the kidnapping even more plausible.
