LAP Green describes as baseless assertions that Zamtel was undervalued

LAP Green Network Chairman Wafik Alshater has described as completely baseless accusations that Zamtel was undervalued at the point of sale.

Mr Alshater in an electronic statement released to QFM has also dismissed allegations of wrong-doing by LAP Green during the acquisition of the 75 percent stake in Zamtel.

Mr Alshater claimed that LAP Green followed due, facilitated by a consortium of internationally renowned professional service companies, including Standard Bank, Denton Wilde Sapte and KPMG South Africa.

He said that the open and competitive bid process was overseen by the Zambia Development Agency and included the direct involvement of the Attorney General and international legal advisers, Simmons and Simmons.

Mr Alshater added that the 75% stake sold to LAP Green in June 2010 for $257 million about K1.37 trillion constituted the highest amount ever paid for a privatized company in Zambia and was at the time one of the higher valuations for a telecoms asset in Africa

He said that Zamtel is a successful turnaround story and that LAP Green remains keen to cooperate with the Zambian government to ensure the continued growth and success of the company.

And Mr Alshater has accused the media in Zambia of subjecting LAP Green to a concerted campaign of misinformation.

He said that the willful misrepresentation of LAP Green has forced the company to explore legal options to protect its reputation.

    • Sharp Shooter, Malila lost his Attorney General position in the process and only then did this deal move forward. ZDA was a rubber stamp. The only ones who seemed to have followed due process were the foreign companies solicited and prodded by your Dora Siliya and RB bin. Read the report, and compare them with newspaper reports that were covering this fiasco at the time.

  4. Sata’s government is setting itself up for legal battles with investors. The battles will cast a dark light on this country and elevate the political risk of doing business in Zambia. Foreign Direct Investment will shrink. Mind you, Zambia is not a prime destination for plum investment. Investors come to Zambia because of the incentives the government provides. When you start grabbing privatized enterprise, you essentially conjure the ugly images of land-grabbing in Zimbabwe. That is not good for the country. Remember this is a continent that struggles to convey a positive image about itself. And Sata’s behavior sufficiently plays to the stereotypes.

    • Can’t compare with land grabbing issue in Zim. This is a specific case in point and GRZ has facts and tons of evidence that Zamtel sale was fraudulent, Zim land grabbing was at random without careful investigation of individual cases.
      Investors who come to Zambia in a transparent and clean way should have nothing to fear!

    • Believer where is this evidence that is so overwhelming? Sata gave directions that the Zulu report should be made public and its nearly a week and that hasnt happened. So where have you seen this compelling evidence? If anything I agree with Deep Throat that this is very similar to Zimbabwe in the sense that the head of state is erratic and feels he has the right to grab property from the “rightful owners”. That is in inverted comas because as it stands we are seculating. What Sata or any concerned stateholder, should have done is follow due process and seek a judicial review. The international investing community will understand that and anything else will send shivers…especially after the grabbing of Finance Bank without following due process.

  7. Bloggers, argue with diginity, level of intellegency and reason. The chairperson has isued a statement, citing reputable international bodies involved. If you want to pin him, point at specific issues in the Zamtel report that show that the process was corrupt.

    Emotional irruptions such ‘go back to your country….Its our country/zamtel’ do not hold water.

  8. The privatization of Zamtel may have been flawed, but there is a better way to handle the issue. Meet with the new owners and discuss the issue quietly. Also, you don’t have to investigate everything that was privatized in the past. Move on. Look at the way other people govern. Obama inherited an economy that was mismanaged by George Bush, for instance. He did not start investigating the former president even when there was proof that the Iraq war actually enriched Bush, Dick Cheney and their buddies. When you go in government, you must have a plan. You don’t go there to settle scores. You may think you’re punishing your foes. In essence, it is the people you purport to represent who suffer. Reform, Mr Sata. 5years is way to long to let you continue in your current direction.

He gathers enough audacity and put it to our face that assertions of Zamtel to have been undervalued as claimed by Zambia is wild allegations. To underpin that statement a list of well reputable international bodies which Zambia has no capacity to dispute their competence. Making noise in a seleleque wont help matters, we need to engange them on an intellectual platform to which cadreism has no place.

You cannot sell a company at a negative value (ie- you pay more than you receive) especially when a report claims that the company will be worth $ 5bn in two years!

  16. Obviously the chairman has to say something. It’s not good for a leader to keep quiet when his camp is under attack. And when that leader speaks, they have to sound like they believe in what they are talking about. Chairman Alshater has given it a good shot. Unfortunately, he hasn’t had a look at Sebastians report. Those reputable organisations his quoting have very little or nothing to do with the glaring irregularities brought out in sebastian’s report.
    Whether some of you like it or not, as a Zambian, Zamtel is OUR baby.

How can he be talking about taking the Government to court when they are failing to prosecute suspected Gadhaffi supporters languishing in their prisons due to an almost none existent legal system in his country? and if your parent company LAAICO has such high ethical business dealings how come you have alot of issues in your transactions refer to the Grand Regency Hotel in Kenya in which a repossession was being considered and a minister was even fired over even before Ghadaffi was killed. How are you even claiming turnaround when Zamtel is nowhere near making profits. ….Sir you also know that your holding company has had bad audit reports which have necessitated restructuring…Zambians OPEN YOUR EYES….show me a country where they have managed a turnaround…this is cheap PR

  22. @Kwekwe, it is not the repossession I have an issue with. It is the behavior of the establishment, led by Sata. This government can handle the issue better than this. Regarding Boer investment flooding Zambia, that is the same point I am raising. Zambia is currently not an attractive destination for plum investment. When openly and rancorously repossessing privatized enterprises, western investors group you together with countries like Somalia, Ethiopia and Zimbabwe. The result is you end up with crooked and low class investors like those who flood Zambia. That doesn’t benefit the country.

  23. If the PF government can’t honour the Zamtel deal, i would urge those that manage and assess risk  to downgrade zambia’s credit rating immediately until the country elects an educated head of state who will honour debt obligations.

I assume, in his actions Sata wanted to taste the waters..believing that Lap Green would buckle and hand the keys over like FNB did. I listened to Chibamba Kanyama on Mobi TV last week making similar arguments 1. that it was difficult to make an informed decision in the absence of submissions from the buyer (LAP Green) and others. 2. Where as Government had the authority to reverse the sale, it needed to separate a fraudulant process from the actual transaction, adding that Government was too focused on reversing the sale than on post-sale management of the company. He proposed for a negotiation and that LAP Green be asked to pay the shortfall in the event it was established the price was low. Let us not bungle this case out of emotion. We , as a nation, are actually on the losing side in the long term

  40. The Chairman of Lap Green is just issuing statements he does not believe in, i am sure courtesy of RP Advisor Peter Heilner. This is the same advice Heilner was giving RB, Dora, Pro Lungwangwa on how to respond to questions or issues considered uncomfortable. The truth is that the Zamtel report highlights glaring irregularities on the sale. And for those saying it is one side let us appeal to Dora, Situmbeko and Mutati to release the RP valuation report (which has grown legs). This is not a one sided report because where information was requested for and it was not given the Commission of Inquiry provides documentary evidence of what they wrote about e.g. email exchanges between RP and Simmons and Simmons (predetermined valuators and attorneys respectively) see p 28 of the Zamtel report.

  41. Zambia has never been at a point of people differing in a lot of national issues than now. This is normal for a nation on its way to development. However, when these different views are not handled carefully by those in authority be rest assured that no development will come the way of the nation. Sata and his team have an obligation to show leadership which is steadfast and ZAMTEL issue should be handled in a professional manner. Govt should increase its stake from 25% to 40% in the next two years untill they have 50 plus shares. Leave LAP Green as a partner. But if PF is tilted towards impressing the masses they are in for a shock, as the same masses will turn around whent he economy starts shrinking.

Yes, the Zambian Government may have erred in the execution of the sale, but it would be totally out of order to punish would be investors, wherever they come from, because of Dora”s incompetency or corruption. Incidentally, can you please explain who is to run the reposessed Zamtel seeing as MMD cadres had run the company down prior to its partial privatisation?

    • @ Bakulu.. The Libyans were warned by all Zambians at the time RB/GK were trying to push this transactions.. There were tribunals and Dora found gulty in this regards.. Zambians were said no.. BUT you libyan friends ignored public sentiment and soverign risk and criminally forged ahead after being given guantee by GK.. Forget Zmabians.. The just talk and will forget.. in business its call STRATEGIC Risk blunder. Any reputable multinational would have waited for POLITICAL RISK (which has no legal recourse as a sovereign country is law to itself) matters to be resolved before proceeding with the transaction especially concerns around the Dora’s criminal conduct in this regard as reputational risk and governace matters matters most.. FNB didnt invest at al in Finnce Bank, Lapgreen has invested Billions of Kwachas in the company, so even if we repose,we shud understand that them Lapgreen guys are in business and they wil do all it takes to make a profit from the reversal! there are legal documents supporting the sale, even if u Nationalise, i can assure u that if Lapgreen bot Zamtel at $300, 000, 000 US ZAmbian Governmet wil get it back after paying the Libians thrice or twice the amount! The money we wil pay the Libians wen we repose Zamtel cud go to invest in other sectors of the economy which wud create the much needed emplyment!
    The best is to negotiate not reposes! Government cant run a Corporation or any company!

  49. @No 31 What millions did the Libyas bring when GRZ paid $ 334 for 25% shares and Lapgreen paid $ 257 for 75%, paying more for less and less for gain. How can you sell something and end up being in debt to the buyer? This is a paradox!
    Lapgreen did not meet the 3 prequalification criteria. We are getting Zamtel because even the UN resolution and sanctions were contravened so what money is Zambia going to lose? Pipo read the CoI report and if not satisfied ask Dora to give you the RP Valuation report (if she can bcoz it has grown legs) ke ke ke.

  50. There are bolggers here who are saying Zamtel must be repossessed because the report by the Zulu commission of enquiry exposes glaring anomalies in its sale to Lapgreen. What we are forgeting is that the commission did not invite Lapgreen to give their side of the story during its sittings. One wonders whether we can call this a balanced report. I think we need to be very level headed as we debate this issue. Much as government is claiming otherwise, lets demand to hear what the otherside has to say. What is their story? This will help us understand the implications of the reversal of the sale.

  52. This zamtel of YOURS will work for another five years in repaying lap green if you reposes that thing. Not forgetting time in courts. Meanwhile it might no be yours until the courts decides.
    ZESCO is yours but your bills are higher than where they export while the rivers are yours.

    • Which courts? and under whcih jurisdiction.. Dont you you know a Country is sovereign and cannot be sued as it si law to itself? Where are LAP going to go? Who can try Zmabia?

  53. If this government did its Cost vs Benefit analysis on repossession of ZAMTEL, I doubt they would be championing such a move. Surely, there must be more pressing issues in Zambia to engage the President directly day-in & day-out, not a small company issue. Great learders put interests of the country first. In this case, an open confrontation with this small comapny can have far much greater damage on Zambia as a whole than on itself (who is LAPGREEN in the world compared to the nation of Zambia?). Why not appoint a small group of experts to review the sale & negotiate for a better deal quietly & move on. In any case nationalization is out of fashion these days. Look at the mines we ran to the ground & yet they are making huge money under proper management.

    The Banda government went $77 million into debt with the Chinese government, money they gave to LAP Green.

    LAP GREEN, get this, *PAID NOTHING* FOR ZAMTEL.

    If anything, it is the Zambian government that should prosecute LAP Green to get it’s $77 million back.

  56. Most Zambians supporting foreigners to possess Zambian assets are sick and are not worth to be citizens of Zambia. They are immature and mentally warped. Foreigners are not in Zambia to make the country any better than it is. They in there to make a killing over your poverty. When are you people going to ggrow up and be responsible citizens of our country? This is why some of do not think coming back is a smart move becuase we would surrounded by useless human beings, always rubbishing their country for foreigners. Sick people like these are not worth count for a vote.

  60. It appears in effect LAP Green do not care about anything. I think that Zamtel would have been sold by LAP Green immediately it became worth $ 5bn.
    As for the telephone bills government owed Zamtel worth $ 7m that dramatically scaled down to $ 100,000, let me tell you what I think, I think RB and company wanted a legal way to make government pay money to their accounts. I doubt LAP Green received any money in effect. LAP Green was looking at the larger picture of selling the company in two years. Even the $ 344m that government owed, I think it would have gone to private accounts. LAP Green paid $ 244 just to make the transaction appear genuine.

  63. The Zambians that are surporting the sale of ZAMTEL are one and part of the zambian thieves. Let them talk but Zamtel is for Zambians, after all MC warned them about the repossesion but they were blinded by what was due to them. They never listened, even LAPGREEN was deaf at that time.
